TERMS AND CONDITIONS

1.00 Duty of Care
1.01 EJE Drone Services shall exercise reasonable skill and care in the performance of these services.
1.02 EJE Drone Services will follow the Drone Code which can be found on www.dronesafe.uk
1.03 EJE Drone Services will provide RAMS and follow any site-specific rules, if provided by the client, in writing before the commencement of the site services.
1.04 EJE Drone Services will use best endeavours to provide the service on the dates agreed but this will be subject to weather conditions, or any other third-party restrictions imposed.

2.00 Liability
2.01 Notwithstanding anything in these terms and conditions, EJE Drone Services' liability to the client (purchaser) in respect of this Contract, either in contract, tort (including negligence or breach of statutory duty) or howsoever otherwise arising, shall be limited to re‐ performance of the Services.
2.02 The client (purchaser) shall indemnify and hold harmless EJE Drone Services against all claims, liabilities, damages, costs and expenses arising from any aspect of the documentation, videos, photographs or other information for the purposes of the services.

3.00 Terms of Payment
3.01 Acceptance of quote in writing prior to arrival on site.
3.02 Full payment within 14 days of Invoice to the client (purchaser) unless agreed otherwise.
3.03 Invoices will also be raised monthly and at key stages within the programme of work if services are conducted at regular intervals. 3.04 Suspension of work will occur if quote is not accepted or payments are not made on time.
3.05 Payments 1week overdue - Reminder notice issued
3.06 Payments 2 weeks overdue - EJE Drone Services will commence legal proceedings to recover any outstanding monies owed.
3.07 Interest - Interest will be charged on all late payments at 8% above the Bank of England base rate plus the statutory fee. Interest is calculated on a daily basis.

4.00 Termination or Suspension of the Contract
4.01 Should the client, at any time, wish to terminate or suspend the contract other than by breach by EJE Drone Services, the client (purchaser) will:

give a minimum of 2 days notice to suspend any services on site

pay all fees and expenses properly incurred within 14 days of such termination.
4.02 EJE Drone Services reserve the right to charge the client the loss of profit that would have been paid had the approved contract been carried out in full.

5.00 Variation to Services
5.01 Any variations or requests for additional work need to be agreed in writing between EJE Drone Services and the client (purchaser) and are subject to the same Terms and Conditions as are contained within our agreement.
5.02 Any additional agreed time on site is £62.50 plus VAT per hour.
5.03 Copyright music if required at cost of licence plus £20.00 plus VAT.

6.00 Ownership of Documents and Copyright
6.01 The copyright in all reports, videos and photographs and other documents provided by EJE Drone Services in the performance of it's services shall remain vested in EJE Drone Services.
6.02 Conditional upon all due fees having been paid, the client (purchaser) shall have a non‐exclusive royalty – free licence to use such reports, videos, photographs and other documents for the purpose of marketing and social media, specific to the services, acknowledging EJE Drone Services.
6.03 EJE Drone Services retains the right to use any material or footage from the services on its own media platforms.

7.00 Confidentiality
7.01 EJE Drone Services undertakes to respect confidential information concerning the client’s (purchaser’s) business and not to disclose or permit disclosure or use to EJE Drone Services’ own advantage of any such information without the client’s (purchaser’s) prior permission save where the same is already within the knowledge of EJE Drone Services or in the public domain or subsequently comes into the public domain other than by any breach by EJE Drone Services of this undertaking.

8.00 Third Party
8.01 No provision of these conditions is intended to or does confer upon any third party any benefit or right enforceable at the option of that third party or any liability whatsoever or any third party.
8.02 Standard Charge Out Rates are provided in the formal Quote.

9.00 Jurisdiction
9.01 The parties’ hierarchy agree to submit to the jurisdiction of the English Courts.
PURCHASER means: The client
SERVICES means: The activities defined in the fee proposal Quote submitted and accepted in writing.
